Definitions Client: The company or individual requesting the services of Liquidpacket "liquidpacket.com". Liquidpacket: Website designer/developer, IT solution provider, site owner & employees or affiliates. All projects are subject to the following terms and conditions:
Free Consultation Liquidpacket will consult with a prospective client to determine project needs for the preparation of a proposal and quote. All discussions during consultations, presentations, and proposals are not considered part of the current Web project if not included in the final quotation or the project scope.
Quotation Quotations are valid for 14 days and are non-binding. Pricing is subject to change upon the full scope of the project.
Project Scope Prior to the commencement of work, all projects will be fully scoped.. A contract, or Web Project Agreement, will be drawn accordingly. Should the scope exceed the initial quotation, Liquidpacket will submit a quotation for approval before proceeding. Any additions to the scope will be carried out at the discretion of Liquidpacket and where no charge is made by Liquidpacket for such additions, Liquidpacket accept no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.
Fees Initial deposit is required before work on the Web project begins. The break-up of the payment will be provided prior to the commencement of the work. Balance is to be paid on completion and acceptance by the client and prior to uploading the Web site on client’s server.
Additional Fees If the quantity of materials delivered by the client exceed the number of agreed upon pages, or if programming differs from the concept in scope, fees of $75/hour will apply.
Payment Clients may elect to receive email or fax invoices. Payment is due on invoicing. There are no exceptions to this, i.e. if the client decides they no longer want the site, as they have commissioned the work they are still obliged to pay for the work that has been done. Non payment will result in legal action being taken if necessary. Payment can be made via PayPal or Wire Transfer. Payment with credit card is accepted at the sole discretion of Liquidpacket.
Project Materials All materials required for the production of the Web project that are not included in the scope will be provided by the client. Liquidpacket is not responsible for proofreading and editing of materials provided by the client.
Grant of Rights Upon receipt of full payment, Liquidpacket will turn over the right, title, and interest in and to all elements of the Web project to the client. Liquidpacket retains the right to make portfolio use of the Web project. The website, graphics and any programming code remain the property of Liquidpacket until all outstanding accounts are paid in full.
Website Development Whilst every endeavor will be made to ensure that the website and any scripts or programs are free of errors, Liquidpacket cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it. Liquidpacket cannot take responsibility for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material. Liquidpacket will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines. Liquidpacket will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. Liquidpacket will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the clients appointed agents. Liquidpacket will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents. Liquidpacket reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the free hosting service should the necessity arise.
Database Applications Liquidpacket cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use. Where applications or sites are hosted on servers not operated by Liquidpacket, the client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the client’s responsibility to provide a suitable testing environment which is identical to the final production environment. The client is expected to test fully any application or programming relating to a site developed by Liquidpacket before being made generally available for use. Where "bugs", errors or other issues are found after the site is live, Liquidpacket will endeavor (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief, such work may be billable.
Compatibility Industry standard HTML, PHP, XML & FLASH will be utilized as appropriate and will allow cross platform viewing. It will also be assumed that prospective site visitors will have a 56.6 k modem as a minimum and this speed can serve as the client side guideline regarding the size and style of graphics on the site and its general design. Liquidpacket can offer no guarantees of correct function with all browser software. |
